Terms of Service: Commercial

These Commercial Terms apply to enterprise and institutional subscriptions and supplement our Terms of Service. Where there is a conflict, these Commercial Terms prevail.
Who these terms apply to
These terms apply to hospitals, hospital groups, healthcare networks, and government health entities (including CGHS, PM-JAY, and state health schemes) entering a commercial subscription with CaladriusHealth.AI.
Order Forms
The commercial relationship is governed by one or more Order Forms executed between the parties. Each Order Form specifies the scope of services, subscription tier, number of Authorised Users, fees, and any custom SLA terms. All Order Forms are incorporated into the Agreement.
Service Level Agreement
Uptime targets, measurement methodology, and credits for breach are agreed between the parties and set out in the applicable Order Form. Uptime calculations exclude scheduled maintenance (communicated with at least 48 hours’ notice), downtime caused by Customer actions, and force majeure events.
Implementation and Onboarding
CaladriusHealth will provide implementation support as described in the Order Form. Customers are responsible for:
- Providing accurate facility and organisation data for ABDM registration purposes
- Assigning a Customer-side project contact
- Completing any ABDM or NHCX integration prerequisites on the Customer’s side
Government Entity Customers
Where the Customer is a government entity or operates under a government scheme (CGHS, PM-JAY, state health scheme), the Customer is responsible for ensuring its use of the Service complies with all applicable government procurement rules, scheme guidelines, and data sharing obligations. CaladriusHealth will cooperate with reasonable government audit requests relating to the Service.
NHCX Integration
NHCX integration is currently under development. CaladriusHealth will notify Customers in advance of availability and any associated configuration requirements.
Multi-Facility Deployments
For hospital groups deploying across multiple facilities:
- The contracting entity is responsible for compliance across all facilities
- Each facility may be configured as a separate tenant
- Per-facility licensing terms are specified in the Order Form
Custom Data Retention
Where a Customer requires retention periods beyond our standard terms (for example, for government audit obligations), custom periods can be agreed in writing in the Order Form.
Confidentiality
CaladriusHealth deploys its platform on the Customer’s premises. CaladriusHealth does not receive or hold Customer data. Confidentiality obligations apply for the duration of the subscription and cease on expiry or termination of the Agreement. This protects CaladriusHealth’s proprietary software, models, and configurations deployed on-site, and any Customer confidential information shared during implementation and support.
Transition Assistance
On termination, CaladriusHealth will provide reasonable transition assistance for up to 90 days to help the Customer migrate data, at rates agreed in the Order Form.
